			<p>Vancouver, British Columbia&#8211;(Newsfile Corp. &#8211; April 16, 2026) &#8211; <b>Graphano Energy Ltd.</b> <b>(TSXV: GEL) ( FSE: 97G0) </b>(&#8220;<b>Graphano</b>&#8221; or the &#8220;<b>Company</b>&#8220;) is pleased to provide an update on the upcoming Spring 2026 exploration program at its 100% owned Black Pearl graphite project in Québec. The program is designed to advance high-priority targets identified through recent airborne geophysical surveys and ongoing AI-assisted exploration analysis.</p>
<p>The Company&#8217;s collaboration with AI Resource Exploration is advancing, with integrated geophysical, and geological datasets being used to refine and rank priority targets for upcoming fieldwork. Ground activities will be fully integrated with this AI-driven process, with new data continuously incorporated to enhance real-time targeting and drill prioritization.</p>
<p>Initial work will focus on conductive zones near the Black Pearl drilling areas, where prior results indicate graphite potential. The Spring program will include channel sampling and Max-Min electromagnetic surveys over priority targets to further define conductive trends and support future drilling.</p>
<p>Dr. Luisa Moreno, Chief Executive Officer of Graphano, commented: <i>&#8220;The integration of AI into our exploration workflow is a key step in accelerating discovery at Black Pearl. By combining real-time field data with advanced analytics, we are building a dynamic targeting process that improves our ability to identify and prioritize high-quality drilling targets. <p>The Company expects field activities to commence as weather conditions permit, with results to be reported as they become available.</p>
<p><b>ATI Applications for Expanded Exploration Areas</b></p>
<p>In preparation for this work, Graphano is in the process of filing the required Authorizations for Impact (ATI) to access and conduct exploration activities in newly identified areas of interest.</p>
<p><b>Grant of Stock Options</b></p>
<p>Subject to acceptance by the TSX Venture Exchange, it has granted, effective today&#8217;s date (the &#8220;<b>Grant Date</b>&#8220;), an aggregate of 665,000 stock options (the &#8220;<b>Options</b>&#8220;) to certain directors, officers, and consultants of the Company to acquire common shares in the capital of the Company (the &#8220;<b>Common Shares</b>&#8220;), pursuant to the Company&#8217;s stock option plan.<br />
The Options vest on the Grant Date and are each exercisable at a price of $0.15 per Common Share until April 15, 2031. Any Common Shares issued upon exercise of the Options will be subject to a hold period of four months and one day from the Grant Date in accordance with the policies of the TSX Venture Exchange and applicable securities laws.</p>

Recent airborne geophysical surveys, including magnetic and time-domain electromagnetic (TDEM) data, have delineated several discrete conductive zones along this trend and across a broader portion of the property. These conductors are interpreted to represent priority targets for graphite mineralization.</p>
<p>To enhance targeting efficiency and accelerate discovery, Graphano has engaged AI Resource Exploration, a company specialized in advanced geoscience data integration. The mandate will focus on integrating geophysical, geological, and historical datasets to refine and prioritize the most prospective zones for ground follow-up.</p>
<p>&#8220;The identification of multiple conductors over a significant strike length is highly encouraging,&#8221; said Dr. Luisa Moreno, Chief Executive Officer of Graphano. &#8220;By incorporating advanced data-driven analysis, we aim to efficiently prioritize the most prospective targets and deploy our field programs with greater precision.&#8221;</p>

			<p><strong>Vancouver, BC, March 5, 2026 &#8211; Graphano Energy Ltd.</strong> (“<strong>Graphano</strong>” or the “<strong>Company</strong>”) (TSX-V: GEL; OTC PINK: GELEF; FWB: 97G0) is pleased to announce that, subject to acceptance by the TSX Venture Exchange (“<strong>TSXV</strong>”), it intends to amend the exercise price of 12,334,240 common share purchase warrants (the &#8220;<strong>Warrants</strong>&#8220;).</p>
<p>The Warrants were originally issued pursuant to private placements of subscription receipts (the “<strong>Subscription Receipts</strong>”) that closed on December 22, 2020, and April 19, 2021. The Subscription Receipts converted into common shares (the “<strong>Shares</strong>”) and Warrants upon the listing of the Company’s Shares on the TSXV on August 21, 2021.</p>
<p>The Warrants are currently exercisable at a price of $0.52 per Share until August 27, 2026. Subject to acceptance by the TSXV, the exercise price of the Warrants will be amended to $0.33 per Share. All other terms of the Warrants, including the expiry date, will remain unchanged.</p>
<p>The amendment to the Warrant terms is intended to better reflect current market conditions. If exercised, the Warrants would provide additional working capital to the Company.</p>
<p>Directors and officers of the Company hold approximately 2.27% of the Warrants subject to the proposed amendment. None of the Warrants subject to the amendment were issued as compensation warrants to agents, brokers or finders.</p>
<p>The amendment remains subject to acceptance by the TSXV.</p>
<p>The Company also announces the appointment of Andrew Gainsbury, formerly the Company’s Controller, as acting Chief Financial Officer on an interim basis. Mr. Gainsbury, CFA, CMA, has over 16 years of experience in financial management and consulting in both Canada and Brazil. His most recent experience includes serving as Controller for several publicly-listed Canadian junior mining companies. Previously, he was Chief Financial Officer of a Brazilian engineering firm with over 800 employees, as well as a senior consultant leading corporate finance projects across multiple industries for Deloitte in Brazil. He specializes in strategic management, mergers and acquisitions, fundraising, as well as corporate restructuring. He holds an MBA from McGill University and has earned his CFA and CMA designations.</p>
<p>Mr. Gainsbury replaces James (Jay) Richardson, who has temporarily stepped away from his duties as Chief Financial Officer for medical reasons. Mr. Richardson remains a director of the Company. The Company wishes Jay a speedy and full recovery.</p>

Preliminary results from the program were previously announced on January 16, 2026 (Graphano news release dated <a href="/graphano-completes-airborne-geophysical-survey-at-black-pearl/" rel="nofollow">January 16, 2026</a>).</p>
<p><b>Highlights:</b></p>
<ul>
<li>Final interpretation outlines an approximately <b>6.5-kilometre conductive trend across the survey area</b>, with <b>five (5) distinct conductive target</b> areas prioritized for initial follow-up exploration (Figure 1).</li>
<li>The airborne results expand and refine the conductive footprint previously reported at Black Pearl, including a dominant conductor previously interpreted over ~1.2 kilometres in the discovery area.</li>
<li>Prior drilling (Graphano news release dated <a href="/graphano-expands-graphite-zones-at-the-black-pearl-graphite-project/" rel="nofollow">October 14, 2025</a>) within the discovery area returned multiple near-surface graphite zones (core lengths), including:

<li>11.33% Cg over 8.61 m (BP25-01)</li>
<li>4.81% Cg over 12.25 m including 6.63% Cg over 7.07 m (BP25-06)</li>
<li>7.37% Cg over 4.70 m (BP25-03)</li>
<li>Surface work at Black Pearl has included strong channel sample results, including 15.1% Cg over 14 m and 17.9% Cg over 9 m (previously reported).</li>

<p><b>Airborne MAG-TDEM Survey and Results</b></p>
<p>The final report provides a complete set of processed MAG and TDEM products and an updated interpretation to support target selection and field follow-up. The interpreted results define an approximately 6.5-kilometre conductive trend and identify five priority conductive target areas for further exploration.</p>
<p>Graphano will integrate the final interpretation with existing geology, trenching/channel sampling, and drilling information to refine target ranking and guide next-stage work.</p>
<p><b>Follow-Up Exploration Plans</b></p>
<p>The Company plans to initiate prospecting and field reconnaissance over the five priority target areas, including mapping and sampling, with the objective of confirming the source of conductivity and advancing the highest-priority targets toward additional ground geophysics and/or drill testing.</p>
<p><b>Indication of Prospectivity</b></p>
<p>Black Pearl is a large property (previously reported as 84 claims covering ~4,149 hectares) and remains largely unexplored outside the current drill-tested area. The Company has also noted that the mineralization occurs within a geological setting considered comparable to major graphite deposits in the Lac des Iles region, supporting the potential for continued discovery along conductive trends.</p>

<p>Preliminary interpretation confirms a dominant TDEM conductor extending over 1.2 kilometres, consistent with conductive trends previously outlined by ground geophysical surveys in the Black Pearl discovery area. Initial exploration drilling by Graphano in late 2025 within this area identified multiple near surface graphite zones which returned significant assays results (core widths) including 11.33% graphitic carbon (Cg) over 8.61 metres, 4.81% Cg over 12.25 metres, and 7.37% Cg over 4.70 metres (Graphano news release dated <a href="https://api.newsfilecorp.com/redirect/KLXERfgo5V" rel="nofollow" target="_blank">October 14, 2025</a>). In addition, the airborne survey has identified numerous new priority conductive targets, expanding the overall target footprint on the property.</p>
<p><i>&#8220;The confirmation of a continuous 1.2-kilometre conductive trend, together with the identification of new conductors, significantly strengthens the exploration case at Black Pearl,&#8221;</i> said Luisa Moreno, CEO of Graphano. <i>&#8220;These results provide important technical validation of earlier groundwork and materially enhance our ability to prioritize targets as we advance the project toward the next phase of exploration.&#8221;</i></p>

<p><b>Airborne Geophysics &#8211; Survey Specifications</b></p>
<p>Prospectair Geosurveys will conduct the Survey over approximately 637 line-kilometres in Quebec&#8217;s Laurentides region. The helicopter-borne Survey utilizes N130-oriented traverse lines with 100m line spacing and control lines at 1,000m spacing.</p>
<p>Technical specifications include:</p>
<ul>
<li>real-time differential GPS navigation,</li>
<li>cesium vapor magnetometer with magnetic base station for diurnal correction,</li>
<li>time-domain EM system recording multi-channel off-time responses, and</li>
<li>rigorous quality control with re-flight criteria for line spacing and magnetic noise.</li>
</ul>
<p>Graphano expects to integrate the airborne datasets with existing geological and exploration information to support follow-up field investigations and prioritization of target areas.</p>
<p><b>Bulk Sample Update &#8211; LAB and Standard Projects</b></p>
<p>Graphano is currently in the process of engaging an engineering company to file and manage bulk sample extraction activities on the Company&#8217;s Lac Aux Bouleaux (&#8220;<b>LAB</b>&#8220;) and Standard project areas. Concurrently, the Company is advancing data gathering activities related to:</p>

<li>site selection for sample extraction,</li>
<li>geochemistry analysis,</li>
<li>infrastructure requirements assessment, and</li>

			<p>Vancouver, British Columbia&#8211;(Newsfile Corp. &#8211; December 3, 2025) &#8211; <b>Graphano Energy Ltd.</b> (TSXV: GEL) (FSE: 97G0) (&#8220;<b>Graphano</b>&#8221; or the &#8220;<b>Company</b>&#8220;) is pleased to announce that it has closed its non-brokered private placement financing (the &#8220;<b>Private Placement</b>&#8220;) originally announced on November 12, 2025.</p>
<p>Pursuant to the Private Placement, the Company issued 2,500,000 units (each, a &#8220;<b>Unit</b>&#8220;) at a price of $0.15 per Unit, for aggregate gross proceeds of $375,000. Each Unit consists of one common share of the Company (each, a &#8220;<b>Share</b>&#8220;) and one common share purchase warrant (each, a &#8220;<b>Warrant</b>&#8220;). Each Warrant entitles the holder to acquire one additional Share at a price of $0.25 for a period of 36 months from the date of issuance.</p>
<p>The Units were offered pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106 &#8211; Prospectus Exemptions (the &#8220;<b>Listed Issuer Financing Exemption</b>&#8220;) in each of the Provinces of Canada, except Quebec and New Brunswick, and in other qualifying jurisdictions.</p>
<p>The net proceeds of the Private Placement will be used (i) to fund an airborne geophysical survey and additional follow-up work on its Black Pearl project; (ii) to proceed with bulk sample permit filing on the Company&#8217;s Lac Aux Bouleaux and Standard projects, and (iii) for general working capital purposes.</p>
<p>The securities issued under the Listed Issuer Financing Exemption are immediately freely tradeable under applicable Canadian securities legislation. The Private Placement is subject to the final approval of the TSX Venture Exchange.</p>
<p>In connection with the Private Placement, the Company paid aggregate cash finder&#8217;s fees of $22,500.00 to an arm&#8217;s length finder, representing 6% of the gross proceeds from the sale of Units placed by the finder, in accordance with applicable securities laws and the policies of the TSX Venture Exchange.</p>

<p>The closing of the Private Placement is anticipated to occur on or about December 10, 2025, subject to the satisfaction of certain conditions, including but not limited to the receipt of all necessary regulatory approvals, including acceptance of the TSX Venture Exchange. The Company intends to use the proceeds from the Private Placement to fund an airborne geophysical survey on its Black Pearl project, followed by additional airborne follow-up work, to proceed with bulk sample permit filing on the Company&#8217;s Lac Aux Bouleaux and Standard projects, and for general working capital purposes.</p>
<p>The Units will be offered for sale to purchasers pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106 <em>Prospectus Exemptions</em> (the &#8220;<strong>Listed Issuer Financing Exemption</strong>&#8220;), in each of the Provinces of Canada (except Quebec and New Brunswick) and other qualifying jurisdictions. 			<p>Vancouver, British Columbia&#8211;(Newsfile Corp. &#8211; October 14, 2025) &#8211; <strong>Graphano Energy Ltd.</strong> (TSXV: GEL) (OTC Pink: GELEF) (FSE: 97G0) (&#8220;<strong>Graphano</strong>&#8221; or the &#8220;<strong>Company</strong>&#8220;) is pleased to report final assay results from the September 2025 drilling program at its 100% owned Black Pearl graphite project (&#8220;<strong>Black Pearl</strong>&#8220;). The primary focus of this first ever drill program at Black Pearl was on broadly evaluating the deposit&#8217;s larger scale potential, enhancing the structural understanding of the area, and on graphite zone expansion.</p>

<p>Black Pearl is a large property consisting of 84 claims covering 4,149 hectares and is unexplored outside the current area of drilling. The Black Pearl claims are located immediately east of Graphano&#8217;s advanced-stage Standard Mine project (Figure 1), which has an initial indicated resource of 950,000 tonnes at 6.27% Cg, and inferred resources of 980,000 tonnes at 7.16% Cg (see the report titled &#8220;National Instrument 43-101 Technical Report, Lac Saguay Graphite Project, Quebec, Canada&#8221; with an effective date of July 15, 2025, and a report date of August 29, 2025, as prepared by Mercator Geological Services Limited and filed under the Company&#8217;s profile on SEDAR+ <a href="https://api.newsfilecorp.com/redirect/ejogyHDzOg" target="_blank" rel="noopener noreferrer nofollow">www.sedarplus.ca</a>).</p>
<p>Significant near surface mineralization continues to be outlined along the multiple conductive trends evaluated by the drill program. Hole BP25-06, completed to test a conductive target on the central portion of the grid, returned a broad zone of mineralization assaying 4.81 % Cg over 12.25 metres including 6.63% Cg over 7.07 metres, at an approximate vertical depth of only 25 metres. This mineralization remains open in all directions.</p>
<p>Full assay results from the nine-hole drill program are summarized in Table 1 and drill hole locations in Figure 2. These encouraging near surface results highlight the considerable untested potential at Black Pearl but also reinforces the greater district scale potential of the largely unexplored Black Pearl &#8211; Standard Mine project area. Further exploration is warranted to follow-up this sector of mineralization on the property.</p>
<p><strong>Key Highlights (See Full Results in Table 1)</strong></p>

<li>Drilling and bedrock stripping has shown that all conductive trends evaluated are related to graphite mineralization. This reinforces the effectiveness of using airborne geophysical surveys to evaluate the district scale potential of this largely unexplored property.</li>
</ul>
<p><strong>Current Holes</strong></p>
<ul>
<li>Drill Hole BP25-06 intersected 4.81% graphitic carbon (Cg) over 12.25 metres (m) starting at 32.85 m drilled depth and includes 6.63% Cg over 7.07 m.</li>
<li>Drill Hole ST25-08 intersected two significant zones of 9.92% Cg over 3.20 m at 10.30 m, and 4.93% Cg over 6.70 m at 17.5 m that included 15.95% Cg over 1.60 m.</li>
</ul>
<p><strong>Previous Holes</strong></p>
<ul>
<li>Drill Hole BP25-01 intersected 11.33% graphitic carbon (Cg) over 8.61 metres (m) starting at 18.64 m drilled depth;</li>
<li>Drill Hole ST25-02 intersected two zones of 4.53% Cg over 5.50 m at 20.50 m, and 7.95% Cg over 3.75 m at 31.90 m; and</li>
<li>Drill Hole ST25-03 intersected three zones of 7.37% Cg over 4.70 m at 12.00 m, 7.01% Cg over 3.14m at 38.86 m and 4.77% Cg over 6.50m at 44.50 m.</li>
</ul>
<h6>(Note: All intersections reported are based on drilled width and have not been converted to the true width. True widths are not currently known.)</h6>
<p>The four drill holes reported in this update (holes BP25-06 to 09) were drilled in separate areas of the grid.</p>
<p>Holes BP25-06 and 09 targeted conductive trends in the north half. Holes BP25-07 and 08 were drilled near L0N to gain further structural information related to deformation and folding observed in the main Black Pearl stripped bedrock area.</p>
<p>The ground geophysics indicate that the Hole BP25-06 mineralization may be the extension of the high-grade zones encountered in Holes BP25-01 and 02, located 200 m to the south (11.33% Cg over 8.61 m).</p>
<p>Overall, the drill program shows:</p>
<ol>
<li>that all conductive trends tested are caused by graphite mineralization;</li>
<li>the &#8220;eastern trend&#8221; tested by BP25-03, which encountered three significant zones, is approximately 800 m long and remains open at depth and to the north, beyond the northern 2025 stripped bedrock area which exposed high grade mineralization of up to 17.7% Cg including intervals of 6.15% Cg over 4.0 m; and</li>
<li>holes BP25-01, 02 and 08 show multiple mineralized zones ranging to 8.61 m in drilled thickness, traced to a vertical depth of approximately 35 m and remaining open of expansion.</li>

<p>Select samples from the nine holes drilled from Black Pearl were submitted for assay analysis. A total of 620 m were drilled during the program. All drill core samples were sampled, stored and shipped using industry best practices and were delivered to Activation Laboratories (&#8220;<strong>ACTLABS</strong>&#8220;), Ancaster, Ontario, for sample preparation and analyses using laboratories&#8217; Code 4F-C Graphitic, analyzing C-Graphite (infrared), where the sample is subjected to a multistage furnace treatment to remove all forms of carbon with the exception of graphitic carbon; and C-Total (infrared). ACTLABS is an independent commercial, accredited ISO Certified Laboratory. The core sample program also included field duplicates, blanks and a graphite standard sample for quality control and quality assurance (QA/QC) purposes.</p>

<p>This first ever drill program at Black Pearl was designed to test several of the multiple conductive trends identified during recent ground geophysical programs, with the objectives of expanding the known graphite mineralization, enhance the structural understanding, and to broadly evaluate the deposit&#8217;s larger scale potential.</p>
<p><b>Key Highlights (See Full Results in Table 1)</b></p>

<li>Black Pearl was discovered by prospecting with subsequent trenching, channel sampling and limited ground electromagnetic (EM) geophysical surveys.</li>
<li>42 channel samples collected within an approximate 1,200 m<sup>2</sup> stripped bedrock area averaged 13.2% graphitic carbon (Cg). Surface channel sample results include 15.1% Cg over 14 metres (m) and 17.9% Cg over 9 m.</li>

<li>Drill Hole ST25-03 intersected three zones of 7.37% Cg over 4.70 m at 12.00 m, 7.01% Cg over 3.14 m at 38.86 m, and 4.77% Cg over 6.50m at 44.50 m;</li>

<p>(Note: All intersections reported are based on drilled width and have not been converted to the true width. True widths are not currently known.)</p>
<p>Three of the five drill holes reported in this update (Holes BP25-01, 02 and 03) were drilled on L0N. Holes BP25-01 and 02 tested the down dip extent of mineralization in the stripped bedrock area, located along the western conductive trend. Hole BP25-03. collared ~ 130 m east, was drilled to evaluate the eastern conductive trend. The holes encountered multiple, southeasterly dipping mineralized zones ranging from 0.5 m to 8.6 m in drilled thickness. The mineralization has been traced from surface to a vertical depth of approximately 35 m and remains open for continued expansion at depth. Hole BP25-04 located 100 m along trend to the north of BP25-03 successfully extended the mineralization and host stratigraphy. Hole BP25-05 was drilled to evaluate a separate surface occurrence and conductive anomaly on L100N at 0+50W. Narrow, lower grade mineralization explained this target. Full assay results from the five holes are presented in Table 1 and drill hole locations in Figure 2. Further assay results are expected to be released in the coming weeks.</p>

<p>Select samples from the nine holes drilled at Black Pearl were submitted for assay analysis. A total of 620 m were drilled during the program. All drill core samples were sampled, stored and shipped using industry best practices and were delivered to Activation Laboratories (&#8220;<b>ACTLABS</b>&#8220;), Ancaster, Ontario, for sample preparation and analyses using laboratories&#8217; Code 4F-C Graphitic, analyzing C-Graphite (infrared) where the sample is subjected to a multistage furnace treatment to remove all forms of carbon with the exception of graphitic carbon; and C-Total (infrared). ACTLABS is an independent commercial, accredited ISO Certified Laboratory. The core sample program also included field duplicates, blanks and a graphite standard sample for quality control and quality assurance (QA/QC) purposes.</p>
